Terms of Service

These Terms of Service ("Terms") are a binding agreement between EzHR ("EzHR," "we," "us," or "our") and the business or individual that creates an account or uses our services ("Customer," "you," or "your"). By creating an account, starting a free trial, or otherwise accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. The Service

EzHR provides a cloud-based human-resources software platform for small and mid-sized businesses, including employee records, onboarding and offboarding, document management, time-off tracking, performance reviews, and related features (collectively, the "Service"). We may add, change, or remove features over time.

2. Eligibility and accounts

The Service is intended for use by businesses and their authorized personnel, not by consumers for personal purposes. You must provide accurate account information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of login credentials. Notify us promptly of any unauthorized use.

3. Free trial

We may offer a free trial of the Service for a limited period (for example, 30 days). Trials are provided for evaluation only and may require approval before activation. No credit card is required to start a trial, and trials do not automatically convert into a paid subscription or charge you. At the end of the trial, your access may be limited or suspended unless you elect to continue on a paid plan. We may modify or discontinue trials at any time.

4. Fees and payment

If you choose a paid subscription, you agree to pay the fees in effect at the time of purchase. Unless stated otherwise, fees are billed in advance, are non-refundable except as required by law, and exclude applicable taxes, which you are responsible for. We may change our fees on prospective notice.

5. Customer data and our role

"Customer Data" means the data you and your users submit to the Service, including employee records and uploaded files. As between the parties, you own your Customer Data. You grant us a limited license to host, process, and use Customer Data solely to provide and support the Service. For the HR data your business enters about its employees, your business is the data controller and EzHR acts as a data processor on your behalf. You are responsible for providing any required notices to, and obtaining any required consents from, your employees and other individuals whose data you put into the Service.

7. Health information and employment records

The Service is built to store employment records — the HR information a business keeps about its own employees. Under HIPAA, health information that an employer holds about its employees in its role as an employer is treated as part of the employment record and is not "Protected Health Information" (PHI). It is therefore appropriate to use the Service for ordinary HR documents that happen to contain medical information — such as doctor's notes for sick leave, FMLA paperwork, workers' compensation claims, ADA accommodation requests, and drug-test results. The Service is not intended to store PHI that you hold as a HIPAA "covered entity" — for example, the medical or treatment records of your patients or clients. You may not use the Service to store that kind of PHI unless you have first entered into a separate, signed Business Associate Agreement (BAA) with us; absent such an agreement, EzHR is not your "business associate." You are likewise responsible for not submitting payment-card data or other data subject to special regulatory regimes outside the Service's intended scope.

8. Security

We implement reasonable technical and organizational measures designed to protect the Service and Customer Data, including encryption in transit, database-level tenant isolation, role-based access controls, and audit logging. No method of transmission or storage is completely secure, and you are responsible for configuring user roles and access appropriately within your account.

9. Confidentiality

Each party may have access to the other's confidential information. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party.

10. Intellectual property

EzHR and its licensors retain all rights, title, and interest in and to the Service, including all software, design, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We may use aggregated, de-identified data to operate and improve the Service.

11. Third-party services

The Service may rely on third-party providers (for example, infrastructure hosting and email delivery). We are not responsible for third-party services, and their use may be subject to separate terms.

12. Disclaimer of warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.

13. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or related to these Terms will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim (or, if you are on a free trial, one hundred U.S. dollars).

14. Indemnification

You will defend and indemnify EzHR against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

15. Term, suspension, and termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to the Service or others. Upon termination, your right to use the Service ends. We will make Customer Data available for a limited period for export, after which it is deleted from the live system; uploaded files are held briefly in a quarantine area before permanent purge, as described in our Privacy Policy. We may retain limited records where required by law.

16. Changes to the Service and to these Terms

We may update the Service and these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, notify account administrators. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to venue there. This governing-law and venue selection applies to all customers regardless of the state from which they access the Service.

18. Miscellaneous

These Terms, together with the Privacy Policy and any order you place, are the entire agreement between the parties regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Our failure to enforce a provision is not a waiver.
